Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the iStaffRota platform and website (together, "the Service") provided by iStaffRota Ltd ("we", "us", "our"), a company registered in England and Wales. By accessing or using the Service, you agree to be bound by these Terms.

2. The Service

iStaffRota provides cloud-based home care management software, including scheduling, electronic medication administration records, visit verification, invoicing, payroll, compliance reporting and a family portal. The specific features available to you depend on the subscription plan you have purchased.

We reserve the right to modify or discontinue any aspect of the Service with reasonable notice. We will not materially reduce the core functionality available under your current plan without offering you the option to exit your contract.

3. Subscriptions and payment

Access to the Service requires a paid subscription. Subscriptions are billed monthly in advance. Prices are as published on our pricing page and may be updated with 30 days' notice. All prices are exclusive of VAT, which will be added at the current UK rate where applicable.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for unused portions of a billing period.

4. Your data

You retain ownership of all data you upload or create within the Service ("Customer Data"). We process Customer Data on your behalf as a data processor under our Data Processing Agreement, which forms part of these Terms. We will not access Customer Data except to provide the Service, respond to support requests, or as required by law.

On termination of your subscription, we will retain your Customer Data for 90 days, during which you may request an export. After 90 days, Customer Data will be securely deleted.

5. Acceptable use

You agree not to use the Service to: violate any applicable law or regulation; infringe any third-party intellectual property rights; upload malicious code or interfere with the Service's operation; resell or sublicense the Service without our written consent; or process data of individuals without appropriate legal basis under UK GDPR.

6. Availability and support

We aim to provide the Service with 99.9% monthly uptime, excluding scheduled maintenance windows. We will give reasonable advance notice of planned maintenance. Support is available by email and telephone during UK business hours. Response times depend on the severity of the issue and your plan level.

7. Limitation of liability

To the extent permitted by law, our total liability to you in connection with these Terms (whether in contract, tort or otherwise) shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim. We shall not be liable for indirect, consequential or incidental losses.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

8. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
